ADS Capital is focused on 3 main areas, namely, corporate and business advisory, capital raising and structuring, and strategic real estate development consultancy. With a team and network of qualified and experienced internal and external advisors, ADS is able to provide value-add effective solutions to our clients which require a combined understanding of various aspects and areas such as legal, finance, corporate, private equity, capital raise, IPO, compliance and specialised industry knowledge.

Our corporate advisory services include preparing our clients for initial public offerings (IPO) in ASX, SGX, Nasdaq and HKSE and providing them access to investment banking firms, consultants and underwriters, mergers & acquisitions, corporate and debt restructurings, capital and debt-raising via capital market instruments.

On the raising of capital end, our full commitment in engaging with businesses allow us to provide practical, results-driven and independent advice that addresses the funding needs of today’s business in a tight liquidity environment. This is done by capitalizing on our partnership with our extensive network of capital market professionals, investment institutions, private equity firms, capital instruments, SPACs & IPOs, independent funders and family offices as well as our own private equity fund under Asia Access Capital Management LP.

Our team assists in the initial planning for corporate exercises and restructuring, formulation of optimal fund raise scheme, selection of professional advisors and close monitoring of the implementation process until completion. We strongly believe in the fundamentals of services with accountability and integrity.

For strategic real estate development consultancy, we are backed by a team of experts with combined experience of more than 60 years in the real estate industry. In recent years, real estate development funding has become a great challenge for many developers particularly via traditional banks’ financing. ADS Capital has the experience to combine capital market funds with corporate structuring and facilitate access for our clients to access alternative funding. To date, we have assisted many developers with their funding needs close to RM50 billion in GDV value.

Sandra is an experienced litigation lawyer, in the area of civil and corporate litigation, banking and conveyancing, corporate insolvency expert and has been involved in multi-million land transactions and a due-diligence specialist. She founded Y.P.Chan & Associates, Advocates & Solicitors and actively practised law for over 21 years. Her clientele included multi national conglomerate such as Gillette, LG Industrial Lift Systems, Woodlandor, NTV 7, Lafarge Malaysia, Lightstyle. and many others.

She has a successful track record in property development, project management, feasibility studies and due-diligence, project recoveries, equity fundraising and several successful investment exits in Malaysia, USA and Australia. She has travelled extensively to Europe and the US to conduct due diligence on private equity deals. She is also active in the space of private equity, pre-IPO, IPO and alternative investment investor.

Dominic has diverse experienced in the property industry and was involved in various aspects of the industry i.e. property development, property sales and marketing, property showcases and events, project feasibility, property management etc.

Balendo Lo Wai Chuen is an FCCA holder with more than 30 years experiences and is highly sought after for Corporate Restructuring, Mergers & Acquisitions, Corporate Fund Raise, Reverse Takeovers and preparing companies for listings in various stock exchanges, particularly the Stock Exchange of Hong Kong.

As an expert on Corporate Restructurings and stock exchange listings, Balendo has successfully assisted a host of companies in China, Hong Kong and Malaysia with their public listings and re-structuring exercises. He also has years of experience as an accountant but holds mostly senior positions in companies he was attached to. He was a Senior Manager cum Regulator with the Stock Exchange of Hong Kong and thus is well verse and has high expertise in listing exercise, its rules and regulations. He also carried the role of Assistant to the Chairman with a public listed company in Hong Kong (HK), Winson China Investment Group Ltd for a number of years. Steven has over 26 years of experience in project management, diverse developments, construction, management and architecture.

Steven’s career started as a Trainee Architect at Robert Conti Architect in Melbourne and then continued at OHM Architect firm in Malaysia as a Senior Architect and subsequently NRY Architect as their Senior Architect.

He joined AP Land Berhad, an established Kuala Lumpur Stock Exchange (KLSE) listed development company in Malaysia as their Senior Project Manager and later became their Regional General Manager (stationed in China) where he oversaw the company’s overseas projects and managed multi-million projects in Japan, China and Malaysia.

After AP Land Berhad, Steven joined an established multi-billion development company, Binastra Group as General Manager (Development). During his tenure in Binastra, he managed and oversaw the successful completion, marketing and delivery of more than RM1 billion ringgit worth of development and over 1000 units of residential and commercial properties.

His skills and strength lies in his keen eye for details, strong architecture sense, solid project management experience both locally and overseas, assessing feasibility studies and viability of projects, managing consultants, liaising with authorities, risk management and ability to identify key factors which make a development project successful.

Dr. Jason Teoh Poh Huat Advisory Board

Dr. Jason Teoh Poh Huat, a Chartered Surveyor, is currently a Director of Henry Butcher Malaysia Penang.

Jason holds an MBA from Heriot Watt University, a Doctorate from the University of South Australia and a post graduate certificate in Real Estate Finance from the National University of Singapore (NUS).

He is a Registered Valuer with the Board of Valuers, Appraisers, Estate Agents and Property Managers (BOVAEAPM), a Fellow of the Royal Institution of Chartered Surveyors (UK),a Fellow of the Royal Institution of Surveyors Malaysia, a Fellow of The Chartered Institute of Marketing (UK), and a Fellow of Persatuan Penilai, Pengurus Harta, Ejen Harta & Perunding Harta Swasta Malaysia (PEPS). Jason is also a member of the New York based Urban Land Institute, FIABCI and Malaysian Institute of Professional Property Managers (MIPPM).

Jason has more than 30 years of experience in property consultancy, asset valuation for financing including IPOs and M&As, research, investments and management. Jason also serves as a High Court appointed assessor and expert witness in land acquisition matters. He was a former Adjunct Professor in the Department of Real Estate Management, Faculty of Built Environment, Universiti Malaya and a former expert panel member of the National Real Estate Research Coordinator (NAPREC) Institut Penilaian Negara (INSPEN), Ministry of Finance, Malaysia. John T.S. Wong Advisory Board

John Wong first started his career in accountancy when he articled with KPMG Peat Marwick on 1 Jan 1987 and remained there for the next 10 years. His last position is that of Senior Audit Manager. He has the distinction of achieving 5 gold medals in the MICPA professional examination and an award for best overall student in Malaysia.

While with KPMG, he handled a wide portfolio of audit clientele with diverse background including multi-national company and public listed companies. His experience includes being in the position as reporting accountants for various corporate exercises by listed companies in Malaysia.

In 1996, he joined a company listed on the second board of the Kuala Lumpur Stock Exchange (KLSE) as General Manager for Corporate and Financial Planning. During the tenure, he undertook various corporate exercises and investment evaluation both in Malaysia and overseas, notably in Singapore, Indonesia and Australia. His role also involved a high degree of liaison with investment banks and regulatory bodies in Malaysia.

In 1997, he successfully negotiated for the acquisition of a listed company (PLC) on the Main Board of the KLSE for his principal including the completion of the mandatory general offer and the necessary funding thereof. The size of the deal of the transaction was approximately RM200 million. Thereafter he accepted an appointment as the Executive Director of the said PLC. In 1998, John resigned from the above company and co-founded Amber Capital Sdn Bhd, a corporate advisory company specializing in Mergers and Acquisitions and later venture into land and property related deals.

William Lim is a real estate professional with over 25 years of senior management experiences in Malaysian, Singaporean, Australian and European property organizations. Ben Kho Advisory Board

Ben joined and formed Total Alliance Health Partners International (TAHPI) Malaysia branch office in 2011 with his valuable experience in design, documentation and construction for numerous projects in Australia, UAE and Malaysia.

Ben is an experienced architect with broad portfolio in health planning as well as non-clinical design and planning. An Australian-trained architect, he has designed and managed large complex projects including mixed use, leisure and hospitals in different countries. He has been involved in many local projects, particularly University Malaya Health Metropolis and Master-planning. He has also led project teams and coordinating with engineering consultants on many local projects.

Gan Ming Chiek Advisory Board

Prior to setting up Gan, Lee & Tan (GLT Law), Ming Chiek worked as a Corporate M&A lawyer in Rahmat Lim & Partners (associated with Allen & Gledhill of Singapore), a tier one corporate transactions-focused law firm in Malaysia, and as a corporate & commercial lawyer in Mah-Kamariyah & Philip Koh, both of which advise on many of the nation’s largest and most high-profile transactions.

Ming Chiek has a strong passion for designing and structuring tax-efficient deals that facilitate his clients’ M&A transactions. His career in the M&A sphere has given him the opportunity to work on several notable corporate M&A transactions in Malaysia; in particular, M&A transactions involving the property development, manufacturing, bereavement care, assets management, energy, healthcare, entertainment, technology, F&Bs and distributive trade industries.

Apart from his conventional practices, Ming Chiek has since early 2017 ventured into blockchain space and has advised a number of international blockchain projects in Singapore, Malta and Gibraltar. Through involvement in these projects, he has established a wide network of local and foreign partners from these crypto valleys. Norita was part of the founding team of Finafex. She is experienced in Audit & Finance with a demonstrated history of working in the digital and services industry. She is skilled in consultancy, business planning, operations management, business development, marketing strategy, and business strategy. She is qualified with a Master of Science (MSc) focused on Economics (Fiscal Policy) from the University of Bath, UK and Bachelors Degree in Economics from the University of Nottingham, UK. Before Finafex, she served as the CEO at Innovation Associates Solutions, the digital arm of the IA group offering consultancy and digital solution services to corporates in the SEA region and UAE.

Norita, for the last 18 years, also serve as the Director and Head of Audit Committee Member of Hup Seng Industries Bhd that grew successfully from a RM60 million worth company to RM310 million today. She also served as the Chief Operating Officer at (MaGIC) Malaysian Global Innovation & Creativity Centre, the government agency that spurred start-ups ecosystem in the country. The fragmented start-ups ecosystem mushroomed to over 10,000 community members during her stint at MaGIC.

Norita also has a demonstrated history of working in the fintech industry and is strongly skilled in data analytics, conversion optimization, and growth marketing. She has a strong background both as an operating entrepreneur and also a venture capital. Since 2017, Norita has been deeply involved with the blockchain and cryptocurrency industry, with the cross-functional intent to investigate disruptive emerging technologies—defining appropriate strategies to maximize on presented opportunities— whilst mitigating threats and executing those strategies using the blockchain based decentralized network.

Kathleen Yap Advisory Board

Kathleen Yap has 30 years of experience in financial services organisations and held senior compliance position in two Southeast Asian banks for 10 years, as Vice President and Head of Compliance Department. Additionally, she has also held various supervisory positions in sales support function, senior relationship management and compliance management function in a multinational bank for about 20 years. Her experience encompassed the setting up of compliance department and effectively implemented the regulatory and anti-money laundering/counter financing of terrorism (AML/CFT) compliance program within the banks, re-engineered business processes, structured integrated remuneration for sales staff and conducted training for senior management and bank staff on regulatory compliance, AML/CFT and financial crime risks in trade finance, personal data protection, foreign exchange administration rules, etc.

In addition to being a compliance person, Kathleen has strong belief in customer-centric approach to regulatory compliance where the approach was proven to be effective by winning the GEMS Award in 2013 for delivery of customer experience excellence.

In the last 2 years, she has partnered with legal and blockchain consultancy firms to provide advisory on regulatory requirements and developing AML/CFT programs and policies and procedures for new start-ups.

Bruno has more than 38 years in the area of accounting, auditing & finance industry. Bruno’s work experience includes Trustees company (Perpetual Trustee WA Ltd as Manager of the Corporate Services Division), Managing Director of WFC Finance Ltd, Prospectus Development Manager of WRF Securities Ltd (a public listed co on ASX) and General Manager of Great Southern Finance owned by Great Southern Ltd (a public listed ASX 200 Co) and as independent management consultant and consultant for Price and Newman (Contract Internal Auditors).

Bruno’s wide spectrum of finance and funding experience includes construction funding, land-bank and bridging finance, subordinate loans (Mezzanine Loans), Preferred Equity arrangement, pure equity and development loans. His team has successfully originated and settled a loan portfolio of AUD$103 million and is currently managing loan portfolio of AUD$15.5 million.
